INCIGEN, LLC · VERSION 2026-09-24

Terms of Service & Confidentiality Agreement

Effective upon acceptance. These terms are an agreement between Incigen, LLC, a Texas limited liability company (“Incigen,” “we,” or “us”), and the organization identified during signup (“Customer,” “you”). The person accepting represents that they have authority to bind Customer. Save or print this page for your records.

1. Your organization’s use

During your authorized subscription or evaluation, we grant Customer a limited, nonexclusive, nontransferable right to use the subscribed Incigen applications, reports, alerts, and information for Customer’s own internal business operations, including identifying opportunities and providing Customer’s own services. Access is limited to authorized users within Customer’s organization, within purchased coverage and user limits. Customer is responsible for those users, protecting credentials, and promptly reporting unauthorized access. Contractors, affiliates, outside organizations, and other third parties require our prior written authorization before receiving access or nonpublic Incigen materials.

2. No redistribution or competitive misuse

Without Incigen’s prior written permission, Customer and its users must not:

These restrictions do not prevent Customer from using authorized leads to contact prospects and deliver its own services in compliance with law. They do prohibit furnishing Incigen’s underlying lists, reports, application access, or proprietary methods to outsiders. Customer’s own information remains Customer’s; these terms do not give Incigen ownership of public facts or information independently obtained without using the service.

3. Mutual confidentiality

“Confidential Information” means nonpublic information disclosed by either party that is identified as confidential or reasonably should be understood to be confidential. It includes business and customer information, nonpublic pricing, software, designs, algorithms, methods, workflows, data compilations, product plans, and materials reflecting that information.

Each party will use the other’s Confidential Information only to provide, receive, evaluate, or support the authorized services; protect it with at least reasonable care; and limit access to people with a need to know who are bound by confidentiality obligations. Customer’s access remains subject to sections 1 and 2. Each party is responsible for its authorized recipients’ compliance. Neither party may use the other’s Confidential Information to compete with the disclosing party or help another party do so. Neither party may announce the confidential relationship or use the other’s name or logo for publicity without written permission, except as legally required.

Confidentiality does not cover information the recipient can demonstrate was already lawfully known without restriction, becomes public without breach, is lawfully received from an unrestricted third party, or is independently developed without use of the discloser’s Confidential Information. Public individual facts do not by themselves make a nonpublic compilation or method public. Legally compelled disclosure is permitted only to the extent required, with prior notice where lawful and reasonable cooperation in seeking confidential treatment. Nothing prohibits lawful reporting to authorities or other legally protected disclosures.

Each party will promptly notify the other upon discovering unauthorized use or disclosure. On termination or written request, the recipient will return or delete Confidential Information and certify compliance on request, except records legally required to be retained and routine backups retained under normal retention policies. Retained information remains protected and may not be used for another purpose. Confidentiality survives termination for as long as the information remains confidential under this section; trade secrets remain protected for as long as they qualify under applicable law.

4. Your information and service providers

We do not sell or rent your account details or confidential business information, or give that information to competitors for their own use. We use it to operate and secure the service, manage accounts and payments, respond to requests, and meet legal obligations. We may disclose information as needed to service providers supporting those purposes, as you authorize, or as law requires. This is a confidentiality commitment, not a promise that no third party ever processes information.

Our website uses AWS for hosting and account services, Stripe for payments, Slack for support chat, and Google Calendar for bookings. Information you submit through those functions is processed by the corresponding providers. Where enabled, Google Analytics receives browser and usage information and uses cookies to measure site activity. Do not submit passwords, payment credentials, or sensitive third-party information in chat or request forms. We retain account, transaction, support, security, and agreement records as needed for service delivery, legal obligations, and dispute resolution. Contact support@incigen.com to request access, correction, or deletion; some records may need to be retained. Separate provider services are also subject to their own terms and privacy notices.

5. Ownership and customer responsibilities

Incigen and its licensors retain ownership of the service, software, proprietary compilations, documentation, and associated intellectual property. No ownership or source-code rights transfer to Customer. Customer retains ownership of its submitted information and grants us permission to process it only as needed for the services and purposes described above. Customer must have the right to submit information and must comply with applicable privacy, outreach, solicitation, and other laws when using leads. Neither party may supply information in violation of another’s rights.

6. Subscription and termination

Fees, coverage, billing frequency, and recurring payment authorization are presented in the selected plan and checkout. Unless a separately signed agreement states otherwise, subscriptions are month-to-month. Either party may terminate on 30 days’ written notice; Customer may send notice to support@incigen.com. Charges remain payable through the applicable notice period. This paragraph does not authorize charges not disclosed at checkout. We may suspend or terminate access for unauthorized disclosure, competitive misuse, security threats, nonpayment, or other material breach. Termination ends the license to access and use the service; confidentiality, ownership, accrued payment obligations, and provisions intended to survive remain effective.

7. Information quality and remedies

TO THE EXTENT PERMITTED BY LAW, THE SERVICE AND INFORMATION ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. We do not guarantee uninterrupted access, complete or error-free information, exclusive leads, customer acquisition, or business results. Independently verify alerts and leads before acting; this service is not an emergency warning system. Nothing excludes liability or rights that cannot lawfully be excluded.

Unauthorized disclosure or misuse may cause harm that money alone cannot remedy. Either party may seek injunctive relief and other remedies available under law; relief remains subject to applicable legal requirements. To the extent permitted by law, the prevailing party in an action to interpret or enforce this agreement may recover reasonable attorneys’ fees and court costs.

8. Governing terms and electronic acceptance

Texas law governs without regard to conflicting choice-of-law rules, and disputes are subject to the exclusive jurisdiction of the state or federal courts located in Harris County, Texas, except where applicable law requires otherwise. A separately signed agreement between Customer and Incigen controls in the event of a conflict. These terms govern the online service relationship and do not purport to sign a separate DocuSign document. Changes to this agreement require written or electronic agreement by both parties; merely posting changes does not alter the version you accepted. Neither party may assign this agreement without the other’s written consent, except to a successor in a merger, acquisition, or sale of substantially all its assets who assumes its obligations. Invalid provisions will be limited as law permits, and remaining provisions stay effective. Failure to enforce a provision is not a continuing waiver.

By selecting the acceptance checkbox and submitting signup, you electronically accept these terms on Customer’s behalf. Incigen offers the service subject to these terms. We record the accepted version, acceptance time, and account identity. Written notices and questions may be sent to support@incigen.com; notices to Customer may be sent to its account email. Notices are effective upon receipt.
